In Polish M&A transactions, verifying title to the shares being acquired is a fundamental part of the legal due diligence process. What may appear to be a mere formality can, in fact, be surprisingly complicated, particularly where a limited liability company has had several shareholders over the years. Contrary to popular belief, the KRS alone is not sufficient to establish that the seller holds valid title to the shares.
Join our webinar on
22 September at 12:00 AM CET, where our M&A expert,
Grzegorz E. Woźniak, will explain how to conduct a proper due diligence as regards the title to shares in a Polish limited liability company (
spółka z ograniczoną odpowiedzialnością).
The webinar will cover:
- reviewing the KRS and the company’s articles of association;
- tracing the entire historical chain of share transfers;
- reviewing previous share-transfer agreements;
- dealing with joint marital property in the case if individuals
- checking corporate approvals, consent requirements and pre-emption rights and
- identifying other contractual restrictions.
A reliable title review requires more than confirming the current KRS entry - it requires establishing that every link in the chain of title is valid and effective.
